1Agreement and eligibility
The Service is offered for business / professional use. You represent that you have authority to bind the Customer organization, that you are at least 18 years old, and that you will use the Service in compliance with applicable law.
If you use the employee mobile app or employee portal, you also agree to use the Service only as authorized by your employer (the Customer tenant).
2The Service
Konnect is a field-operations ERP that may include leads and quotations, jobs, employee tracking, attendance, inventory, purchase, proof of work, payments received/made, and related office and mobile features. Features may vary by plan and configuration.
We may modify, suspend, or discontinue features with reasonable notice when practicable. We do not guarantee uninterrupted or error-free operation.
3Accounts and access
- You must provide accurate registration information and keep credentials confidential.
- You are responsible for activity under your accounts and for promptly notifying us of unauthorized access.
- Customer administrators control invites, roles, and employee access within their tenant.
- We may suspend accounts that pose a security risk, violate these Terms, or fail to pay fees when due.
4Customer data and privacy
Customer retains ownership of Customer Data uploaded or generated in its tenant (including employee, customer, job, and proof data). CodingRoof processes Customer Data to provide the Service as described in the Privacy Policy.
Customer is responsible for: (a) providing required notices and obtaining consents from employees and other individuals (especially for location tracking, attendance photos, and workplace monitoring); (b) the accuracy and lawfulness of Customer Data; and (c) configuring retention and access appropriately.
Our Privacy Policy explains personal data practices for the Service and is incorporated by reference.
5Location, camera, and notifications
Certain features require device permissions, including precise location (which may include background location during in-progress jobs), camera/photo access for attendance and proofs, and push notifications. Customer and end users must enable permissions only for lawful, disclosed purposes. Misuse of tracking features (for example tracking outside authorized work contexts) is prohibited.
6Acceptable use
You must not:
- Violate law, privacy, employment, or intellectual-property rights.
- Attempt to gain unauthorized access to the Service, other tenants, or related systems.
- Upload malware, scrape the Service abusively, or reverse engineer except as permitted by law.
- Use the Service to harass, discriminate against, or unlawfully surveil individuals.
- Resell or white-label the Service without our prior written consent.
- Interfere with Service integrity, rate limits, or security controls.
7Subscriptions, fees, and Razorpay
Paid plans are billed according to the pricing presented at checkout or in your order form. Payments for Konnect subscriptions are typically processed by Razorpay. You authorize us and our payment processor to charge applicable fees, taxes, and renewals when enabled.
- Fees are generally non-refundable except where required by law or expressly stated in writing.
- We may change prices with notice for the next renewal period.
- Failure to pay may result in suspension or termination of access.
- Customer is responsible for keeping billing contacts and payment methods current.
8Intellectual property
The Service, including software, design, trademarks, and documentation, is owned by CodingRoof or its licensors. We grant Customer a limited, non-exclusive, non-transferable right to use the Service during an active subscription in accordance with these Terms. Feedback you provide may be used by us without obligation to you.
9Third-party services
The Service may integrate with third parties (for example Razorpay, cloud storage, maps, or push providers). Their terms and privacy practices apply to their services. We are not responsible for third-party outages or changes outside our reasonable control.
10Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODINGROOF DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that location data, attendance, or proofs will be complete or free from device/GPS error.
11Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODINGROOF WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO CODINGROOF FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted.
12Indemnity
Customer will defend and indemnify CodingRoof against claims arising from Customer Data, Customer’s misuse of tracking or monitoring features, Customer’s violation of law or these Terms, or disputes between Customer and its employees/customers, except to the extent caused by our willful misconduct.
13Term and termination
These Terms apply while you access the Service. Either party may terminate for material breach if not cured within a reasonable period after notice. We may terminate or suspend immediately for non-payment, illegal use, or security risk. Upon termination, Customer’s right to access the Service ends. We may delete Customer Data after a reasonable wind-down period, subject to legal holds and backups. Customer should export needed data before cancellation.
14Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-law rules. Courts in India shall have exclusive jurisdiction, unless mandatory consumer or local law provides otherwise for a particular user.
15General
- These Terms are the entire agreement regarding the Service and supersede prior conflicting terms for the same subject, except a signed order form or enterprise agreement that expressly overrides them.
- If a provision is unenforceable, the remainder stays in effect.
- Failure to enforce a provision is not a waiver.
- You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction.
- We may update these Terms by posting a revised version and updating the “Last updated” date. Material changes will be notified where practicable. Continued use after the effective date constitutes acceptance.
